This Platform is owned and operated by الملاعب الذهبيه للحلول الالكترونية ذات مسؤولية محدودة (Hereafter, referred to as "LOCPLAY"). As used in this Agreement, "we," "us," and "our" shall mean Locplay and its subsidiaries and affiliates similarly website (the"Website") and our mobile application( The “App”) to be used on Android and iOS platforms shall be jointly referred as Platform. The Platform offers an online platform through which individuals and companies may create a profile to connect with potential Venue Owners or Customers for publishing Venue Owner Services on Locplay and to communicate and transact directly with Customers that are seeking to book such Venue Owner Services based on their individual needs and specification. However, Locplay is not in any way involved in such transactions as it is not a party to such transactions and has no control over any element of such transactions.
This Service and the Platform are available only to individuals above 18 years of age or registered companies. By using any of the Services and the Platform, You expressly agree to be bound by these terms and all applicable laws and regulations governing the Platform and the Services. The terms form a legally binding agreement between you and Locplay in relation to your use of the Platform and/ or the Services and apply to all users of the Services, whether registered or not, on the Platform.
By accessing or using the services available through our Platform (the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy. These Terms do not alter in any way the terms or conditions of any other agreement you may have with Locplay for services or otherwise. If you are using the Services on behalf of any entity, you represent that you are authorized to do so.
We may, at our sole discretion, modify or revise these Terms of Service and policies at any time by giving notice on our Platform and/or through the Services, and you agree to be bound by such modifications or revisions. Although Locplay may attempt to notify you when major changes are made to these Terms of Service, you should periodically click on our Terms of Service to review any updates. All changes shall be effective immediately when we post them and shall apply to all access to and use of our Platform thereafter. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits hereunder.
Locplay acts as a passive platform for the online distribution and publication of User Content and has no obligation to screen communications or information in advance, and is not responsible for screening or monitoring User Content posted by Users. However, Locplay may review and delete any User Content that, in the sole judgment of Locplay, violates these Terms of Service, violates applicable law, rule or regulation, is offensive or illegal or violates the rights of, harms or threatens the safety of Users of Locplay. Locplay reserves the right to expel Users and prevent their further access to Locplay for violating the Terms of Service or applicable law, rule or regulation and the right to remove User Content which is in violation of the Terms of Service, abusive, illegal, or disruptive.
Venue Owner means the individual or an entity who owns and or operates a Venue and provide products/services related to sports and recreational activities on the Platform
Listing means any Venue, product and services offered and listed by the Venue Owner for the purpose of events and arenas sport events, recreational and other similar activities.
Customer means the individual or who creates an account for the purpose of availing of the services listed by the Venue Owner. Content means text, graphics, images, music, software, audio, video, information or other materials.
Locplay Content means all Content that Locplay makes available through the Platform, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party but excluding User Content.
Collective Content means User Content and Locplay Content.
Reputation means "review system" created by Users, which is measured through a ranking system of 5 stars and comments.
Locplay Experience means a reputation system displayed to the public on a public user's page.
Third Parties means any company/entity offering "goods and services" through the Locplay Platform.
2.1. Locplay is a trusted community marketplace where Venue Owners and prospective Customers may establish a relationship. In this relationship, its elements are of critical importance. As the provider of the Service, Locplay does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any services listed by the Venue Owner. Venue Owners alone are responsible for their Listings and Services. Locplay is not acting as an agent in any capacity for any User.
2.2. Locplay shall charge service fees to Venue Owners and/or Customers in consideration for the use of the platform. Locplay reserves the right to change/alter such fees anytime without any prior notice.
2.3. Locplay has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Venue Owner Services, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, or other User Content (as defined below), or (iii) the performance or conduct of any User or third party.
3.1. To access and use certain features of the Services, you shall be required to register for an account. By creating an account, you agree to: (i) provide accurate, current and complete account information; (ii) maintain the security of your password, not share your password with any other person and accept all risks of unauthorized access to your account; and (iii) promptly provide notice to [email protected] if you discover or otherwise suspect any security breaches related to the Services.
3.2. Locplay does not control and is not responsible for ads, directory information, business listings/information, or messages between users, including without limitation e-mails sent from outside Locplay's domain or other means of electronic communication, whether through the Platform or another Third Party Website (defined below) or offerings, comments, user postings, files, images, photos, video, sounds, business listings/information and directory information or any other material made available through the Platform and the Service ("Content"); and that by using the Platform and the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You acknowledge and agree that you are responsible for and must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Locplay be liable in any way for the Content or for any loss or damage of any kind incurred as a result of the browsing.
3.3. Users will not use the Services if any applicable law in their country prohibits them from doing so and or have not previously been their right to use the Services suspended or terminated. You acknowledge and agree that Locplay cannot and does not pre-screen or approve any Content, but that Locplay has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service, for violating these Terms and such violation being brought to Locplay's knowledge or for any other reason or no reason at all.
3.4. The User shall not upload, post, transmit, publish, or distribute any material or information that is unlawful or which may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or racially, ethnically, or otherwise objectionable. You acknowledge and agree that you are solely responsible for your own Content posted on, transmitted through, or linked from the Service and the consequences of posting, transmitting, linking or publishing it. More specifically, you are solely responsible for all Content that you upload, e-mail or otherwise make available via the Service. In connection with such Content posted on, transmitted through, or linked from the Service by you, you affirm, acknowledge, represent, warrant and covenant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use such Content on the Service and Platform. However, by submitting any Content on the Platform, you hereby grant to Locplay an irrevocable, non-cancellable, perpetual, worldwide, non-exclusive, royalty-free, sub-licensable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Platform (and its successors'). You agree and understand that Locplay does not undertake any verification to confirm the accuracy of any information provided by the Users on the Platform or to a Venue Owner or Customer, as the case may be. Locplay will not be liable to any Users/Users in the event that any information provided by other Users is false, incomplete, inaccurate, misleading or fraudulent.
4.1. The Venue Owner acknowledges and agrees:
4.1.1.That he/she unequivocally declares that the Venue is free, clear of all levies and liens and encumbrances. That he/she will ensure that the Venue shall not be used for any fraudulent, unlawful or criminal activity.
4.1.2.The Venue Owner shall add comprehensive information on the listing about the services offered, Venue/Facility features. Furthermore, Venue Owner shall make sure all the information related to prices, cancellation of the booking, rescheduling and refunds is clearly mentioned on the listing.
4.1.3.That the Venue Owner shall have all the valid documents to prove his/her exclusive title to the Venue. To make it abundantly clear, it is stated with stress that Venue is not the subject matter of dispute directly or indirectly or remotely and is not in breach of any third party’s rights. 4.1.4.That as a Venue Owner, he/she shall not offer any property that he/she does not own or have permission to make available as a commercial property through the Locplay Platform. 4.1.5.That the Venue has a valid physical address. 4.2. As a Venue Owner, they are solely responsible for determining their obligations to report, collect, remit or include in their Listing Fees any applicable sales taxes, occupancy tax, tourist or other visitor taxes or income taxes.
5.1. The Customer acknowledges and agrees:
5.1.1.That the Venue shall not be used for any kind of fraudulent, unlawful or criminal activity.
5.1.2.Customer acknowledges the obligation to confirm with Venue Owner that Venue has valid, relevant documents.
5.1.3.That Customer shall not use the services with any negative intentions.
5.1.4.You also agree to pay the applicable Venue Owner Fee and any applicable Taxes.
5.1.5.If the Customer or Venue Owner fails to comply with any of these terms, Locplay reserves the right to keep information relating to the breach, to publish or disclose this information on the User's online profile and to suspend or withdraw the User's access to the Platform.
5.1.6.As a Customer, you are responsible for leaving the Venue (including any personal or other property located at the Venue) in the condition it was in when you arrived. You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any additional Customer User (if applicable). Locplay shall not be held liable for any damage done to the Venue by the Customer.
6.1. All refunds and cancellations are subject to the Venue’s terms. A change in a refund or partial refund is subject to the venue policy and may be granted at the absolute discretion of the Venue Owner. Locplay strongly encourages the Customers to go through the payment, cancellation and refund terms before making the bookings.
6.2. In the event any change is made to the booked slot, Locplay shall do its best to find an alternative slot. However, if none can be found that maybe acceptable to you, a full refund shall be processed within two business days.
6.3. The Venue Owner reserves the right to move or cancel a booked slot at any time and in such circumstances Locplay shall make all the reasonable efforts to gain a refund on behalf of the Customer or reschedule the booking.
6.4. The prices may be modified on the Platform from time to time. Locplay takes no responsibility for any change(s) in prices.
6.5. Unless otherwise stated, all fees are due upon a booking being placed, and payment will be facilitated by Locplay using the preferred payment method associated with your account including cash payment, and payments online using Visa/MasterCard credit/debit card in Jordanian Dinars. Once the booking Service has been provided, we may issue you with an invoice from Locplay or on behalf of the Venue Owner, as applicable. The invoice will include sales tax such as VAT, if applicable.
6.6. In the event of cancellation of a booked activity, Locplay may withhold part of the payment as a commission for the service offered.
6.7. Locplay shall not be liable for any payment disputes are between the Customer and the Venue Owner.
7.1. Users should always be professionally courteous when submitting any reviews on the Locplay platform. Inappropriate, obscene, defamatory, offensive language, crude or explicit sexual content, discussions of any matters which are explicitly or by inference illegal in any way, discussions of illegal or any other drugs, and racially and ethnically offensive speech are examples of unsuitable content that are not permitted by Locplay.
7.2. Reviews will not be removed unless there are clear violations to our Terms of Service.
7.3. Withholding the delivery of services, or information required to complete the Commission’s service with the intent to gain favorable reviews or additional services is prohibited.
8.1. We expressly reserve the right, but have no obligation, to: (a) monitor any Content submitted by the Customers and (b) immediately or at any time remove any review or content that we deem objectionable or unsuitable in our sole discretion. Locplay does not assume any responsibility or liability for any content that is generated, posted or communicated by any users/Users on or through Locplay. You agree to indemnify Locplay and each of their respective employees, contractors, officers, directors, agents, representatives, vendors, and content providers from any liability or damages arising out of or resulting from any content you post or communicate on or through Locplay. 8.2. Without limiting the generality of these policies and standards, the following actions are examples, without being exhaustive, of behavior that violates these Terms of Service and may result in your Locplay account being immediately suspended or terminated:
8.2.1.Request, accept or make any payment for Listing Fees outside of the Locplay Platform or Locplay Payments. If you do so, you acknowledge and agree that you: (i) would be in breach of these Terms; (ii) accept all risks and responsibility for such payment; and (iii) hold Locplay harmless from any liability for such payment.
8.2.2.Contact another User for any purpose other than asking a question related to your own booking, Listing, or the User's use of the Locplay Platform, including, but not limited to, recruiting or otherwise soliciting any User to join third-party services, applications or Websites, without our prior written approval.
8.2.3.Posting, transmitting, promoting, or distributing any content that is illegal.
8.2.4.Harassing or threatening any other user/Users of the Locplay Community or any employee or contractor of Locplay.
8.2.5.That promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
8.2.6.Advocates harassment or intimidation of another person;
8.2.7.Requests money from or is intended to otherwise defraud other users/Users of the Service.
8.2.8.Contains video, audio photographs, or images of another person without his or her permission (or in the case of a minor, the minor's legal guardian).
8.2.9.Provides material that exploits people in a sexual, violent or another illegal manner or solicits personal information from anyone under the age of 18.
8.2.10.Provides instructional information about illegal activities such as making or buying illegal weapons or drugs, violating someone's privacy, or providing, disseminating or creating computer viruses.
8.2.11.Attempting to obtain a password, other account information, or other private information from any other users/Users of Locplay.
8.2.12.Impersonates any person or entity, including, but not limited to, a Locplay employee, or falsely states or otherwise misrepresents an affiliation with a person or entity;
8.2.13.Uploading any software, files, photos, images or any other content to Locplay that you do not own or have the legal right to freely distribute, or that contains a virus or corrupted data, or any other malicious or invasive code or program.
8.2.14.Posting messages for any purpose other than personal communication, including without limitation advertising, promotional materials, chain letters, pyramid schemes, political campaigning, soliciting funds, mass mailings and sending "spam", or making any commercial use of Locplay.
8.2.15.Improperly using any support functions or complaint buttons or making false complaints or other reports to Locplay representatives.
8.2.16.Make any libelous or defamatory comments or postings to or against anyone. 8.2.17.Collect personal data about other users/Users or entities for commercial or unlawful purposes.
8.3. You are solely responsible for your interactions with other users/Users. You understand that we currently do not conduct criminal background checks or screenings on its users/Users. Locplay also does not inquire into the backgrounds of all of its users/Users or attempt to verify the statements of its users/Users. Locplay makes no representations or warranties as to the conduct of users/Users or their compatibility with any current or future users/Users. Locplay reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches), at any time and using available public records.
8.4. If you feel that any User you interact with, whether online or in person, is acting or has acted inappropriately, including but not limited to any one who (i) engages in offensive, violent or sexually inappropriate behavior, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to Locplay by contacting us with your police station and report number (if available). You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).
8.5. In no event shall we, our affiliates or our partners be liable (directly or indirectly) for any losses or damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Service including, without limitation, death, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other users/Users or persons you meet through the Service.
8.6. You understand that we make no guarantee, either express or implied, regarding your ultimate compatibility with individuals you meet through the Service. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other users/Users. You agree that any Content you place on the Service may be viewed by other users/Users and may be viewed by any person visiting or participating in the Service.
8.7. Locplay is under no obligation to seek to resolve disputes, and this Service is offered at Locplay's sole discretion and may be withdrawn at any time.
9.1. Generally, a User Account will be considered active until they deactivate or delete it. Locplay takes steps to verify the credentials and company status of its Users. We do not guarantee that the Platform or any content contained on the Platform will always be available or be uninterrupted. We reserve the right to limit, suspend, terminate, modify, or delete the User Account we provide to you or your access to our Services or portions thereof (including any Content you or other users submit) for any reason, with or without notice and at any time, including, without limitation, if you are, or we suspect that you are, improperly using the Services, violating any applicable laws or failing to comply with this Terms of Service. We also reserve the right to stop offering and/or supporting the Services or any part of the Services at any time, either permanently or temporarily, for any reason, with or without notice to you, at which point your use of the Services or any part thereof will be automatically terminated or suspended.
You will not use, copy, adapt, modify, decompile, reverse engineer, disassemble, decrypt, attempt to derive the source code, prepare derivative works based upon, distribute, license, sell, rent, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Platform and Content, except as expressly permitted by Locplay or as permitted under applicable law. Any unauthorized use of the Services is strictly prohibited and will terminate the license granted in these Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you.
Any and all contents and services (including advertising) within Locplay that are not owned by Locplay are "third-party content and services." Locplay acts merely as an intermediary service provider of, and accepts no responsibility or liability for third-party content and services. In addition and without limiting the generality of the foregoing, Locplay may include links to Websites operated by third parties, including advertisers and other content providers. Those Websites may collect data or solicit personal information from you. Locplay does not control such Websites, and is not responsible for their content, policies, or collection, use or disclosure of any information, those Websites may collect.
12.1.This Platform and all content forming part of the Platform, including without limitation, all photographs, images, designs, information, interfaces, text, graphics, brand names, logos and trademarks, are protected by copyright, trade mark and other intellectual property laws of the Jordan.
12.2.You acknowledge and agree that Locplay owns, controls or is licensed all legal rights, title and interest in and related to the Platform, including all intellectual property rights. You may not: • modify or copy the layout or appearance of the Platform or any computer software or code contained in the Platform; and/or • decompile or disassemble, reverse engineer or otherwise attempt to discover or access any source code related to the Platform.
12.3.If you believe that anything on or available through the Services infringes upon any copyright which you own or control, you may contact us at [email protected]
The information presented on or through the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk and responsibility. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform or by anyone who may be informed of any of its contents.
14.1.NEITHER LOCPLAY NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE LOCPLAY PLATFORM OR COLLECTIVE CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF INTERACTIONS OR MEETINGS WITH OTHER USERS OR OTHER PERSONS WITH WHOM YOU COMMUNICATE, INTERACT OR MEET WITH AS A RESULT OF YOUR USE OF THE LOCPLAY PLATFORM.
14.2.IN NO EVENT SHALL LOCPLAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT DISPLAYED ON THE DEVICE, (II) PERSONAL INJURY OR PROPERTY DAMAGE(INCLUDING YOUR SMARTPHONE), OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PRODUCT AND SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND, IN EACH CASE WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LOCPLAY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU SPECIFICALLY ACKNOWLEDGE THAT LOCPLAY SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH JURISDICTIONS THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW, THEREBY MINIMIZING OUR LIABILITY TO YOU TO THE LOWEST AMOUNT PERMITTED BY APPLICABLE LAW. THE SERVICES ARE CONTROLLED AND OFFERED BY LOCPLAY FROM ITS FACILITIES IN CANADA AND USA. LOCPLAY MAKES NO REPRESENTATIONS THAT THE SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE SERVICES FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.
14.3.LOCPLAY AND OUR LICENSORS AND SUPPLIERS MAKE NO WARRANTY THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES: (I) WILL MEET YOUR REQUIREMENTS; (II) WILL BE COMPATIBLE WITH YOUR HOME NETWORK, COMPUTER OR MOBILE DEVICE; (III) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (IV) WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LOCPLAY OR THOUGH THE SERVICES SHALL CREATE ANY WARRANTY.
14.4.YOU UNDERSTAND AND AGREE THAT THIS LIMITATION OF LIABILITY IN THIS SHALL APPLY EVEN IF LOCPLAY IS FOUND LIABLE FOR ANY LOSS OR DAMAGE DUE TO BREACH OF CONTRACT, BREACH OF EXPRESS OR IMPLIED OR LIMITED WARRANTY, NEGLIGENCE OF ANY KIND OR DEGREE, STRICT PRODUCT LIABILITY, SUBROGATION, INDEMNIFICATION OR CONTRIBUTION, OR ANY OTHER THEORY OF LIABILITY. HOWEVER, THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO ANY WILLFUL, WANTON, INTENTIONAL OR RECKLESS MISCONDUCT OF LOCPLAY OR GROSS NEGLIGENCE OF LOCPLAY IN THOSE STATES THAT DO NOT PERMIT LIMITATION OF LIABILITY FOR GROSS NEGLIGENCE.
14.5.LOCPLAY IS NOT A PARTY TO ANY AGREEMENT BETWEEN A VENUE OWNER AND CUSTOMER AND WILL NOT BE LIABLE TO EITHER THE VENUE OWNER OR THE CUSTOMER. FURTHERMORE, LOCPLAY SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING AS A RESULT OF:
14.5.1.A FALSE, MISLEADING, INACCURATE OR INCOMPLETE INFORMATION BEING PROVIDED BY A USER;
14.5.2.ANY FAILURE TO MAKE PAYMENT TO THE VENUE OWNER;
14.5.3.ANY FRAUD, FRAUDULENT MISREPRESENTATION OR BREACH OF DUTY OR BREACH OF ANY OF THESE CONDITIONS BY A VENUE OWNER OR CUSTOMER BEFORE, LISTING THE PROPERTY.

These Terms of Services incorporate our Privacy Policy which together constitutes the entire Agreement between You and Locplay, in relation to Your use of the Platform and/ or the Services and supersedes any prior representations, inducements or agreements relating to its subject matter. You agree that these Terms of Service are not intended to confer and do not confer any rights or remedies upon any third party. If any part of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties and the remaining portions shall remain in full force and effect. These Terms of Service, including all terms and policies referenced herein, contain the entire understanding and supersede all prior agreements between you and Locplay relating to this subject matter and cannot be changed or terminated orally.
You may not assign these Terms or any of the rights granted hereunder without the prior written consent of Locplay, and any attempted assignment without such consent shall be void. Subject to the foregoing restriction, these Terms will be fully binding upon, inure to the benefit of, and be enforceable by our respective successors and us and assigns.
Failure by either Locplay or You to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.
You agree to defend, indemnify and hold harmless Locplay and its respective employees, contractors, officers, directors, shareholders, agents, representatives, vendors, and content providers from and against any and all liabilities, claims and expenses, including attorneys' fees, that arise from a breach of these Terms of Service for which you are responsible or in connection with your transmission of any content to, on or through our Platform. Without limiting your indemnification obligations described herein, we reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
Locplay shall not provide any refunds or be liable for any delay or failure to perform resulting from causes outside its reasonable control; including, without limitation, any failure to perform hereunder due to unforeseen circumstances or causes beyond its control, such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
The Parties hereby agree that all actions brought in respect of this Agreement, or any Services delivered pursuant to this Agreement, shall be brought before a Competent Courts of Jordan, and the parties hereby acknowledge the exclusive jurisdiction of the Competent Courts of Jordan.. This Agreement shall be governed by the internal substantive laws of the of Jordan, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of a competent court located in Jordan, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
